Terms and Conditions

1. DEFINITIONS

In these general terms and conditions, the following terms shall have the following meanings:

  • Sluisgym: Sluisgym B.V., a private limited liability company, statutorily located in Amsterdam, with its office at Haringbuisdijk 1, 1086 VA Amsterdam, registered under number 91037808;
  • Keycard: The electronic access card provided by Sluisgym to each Member upon or after entering into a Membership Agreement with a fixed initial term;
  • Member: Anyone entering into an agreement with Sluisgym to make use of Sluisgym's facilities;
  • Membership Agreement: The agreement between a Member and Sluisgym, established in one of the ways described in Article 2.1, and of which these Membership Terms form an integral part;
  • Membership Terms: The general terms and conditions as outlined in this document.

2. JOINING AND DURATION

2.1. A Membership Agreement is concluded when: - (a) The Member has filled in all requested information on the registration form and has signed it; or - (b) The Member has filled in all requested information in the online registration form (accessible via www.Sluisgym.nl) and has confirmed it.

2.2. A Membership Agreement can be revoked by a Member within fourteen (14) days of entering into it. If the 14th day falls on a weekend or a nationally recognized holiday, the period of 14 days extends until the end of the first following working day.

2.3. A Membership Agreement is entered into for (a) a fixed initial term of one (1), six (6), or twelve (12) months, determined at the time of entering into the Membership Agreement, or (b) a specific number of accesses to the facilities of Sluisgym. A membership can start at any desired time.

2.4. After the fixed initial term of a Membership Agreement, it is silently renewed indefinitely.

3. ACCESS AND OPENING HOURS

3.1. Sluisgym's facilities (excluding the reception and bar area) are only accessible to Members. Sluisgym reserves the right to deny a Member access to its facilities.

3.2. A Member must register each visit to the facilities of Sluisgym by (a) scanning their Keycard or (b) if the membership only grants a specific number of accesses, registering at the reception of Sluisgym.

3.3. A Keycard is strictly personal, non-transferable, and is generally issued only once. The Keycard and the facilities of Sluisgym may only be used by the Member to whom the Keycard is issued.

3.4. The facilities of Sluisgym are accessible during the opening hours as periodically indicated on www.Sluisgym.nl.

3.5. Sluisgym is entitled to change its opening hours and schedules, cancel group classes, or (temporarily) close parts of its facilities for maintenance or other reasons. In such cases, a Member is not entitled to a reduction or refund of membership fees.

4. PRICES

4.1. Every Member owes Sluisgym a fee for using its facilities, payable in accordance with Article 5. The applicable fee is:

  • (a) For the fixed initial term of the membership, agreed upon at the time of entering into the Membership Agreement;
  • (b) For the period after the fixed initial term of the membership: the applicable fee for a monthly terminable membership as indicated on www.Sluisgym.nl;
  • (c) For a membership that grants a specific number of accesses to the facilities of Sluisgym, agreed upon at the time of entering into the Membership Agreement.

4.2. Sluisgym reserves the right to index and change its prices and rates. Members will be notified of a price change at least one (1) month before it takes effect. In case of a price change, a Member has the right to terminate the Membership Agreement within one (1) month after the announcement. A Member is not entitled to terminate the Membership Agreement prematurely if the price adjustment is based on changes in the consumer price index or adjustments resulting from the law. However, if this latter price adjustment occurs within three (3) months after entering into the Membership Agreement, the right to terminate exists.

5. PAYMENT AND REFUND

5.1. The agreed fee for using Sluisgym's facilities must be paid monthly (and in advance of using the facilities) to Sluisgym. The first due date for subscription fees is the start date of the membership. Subsequent payment dates are each one month after the previous payment date.

5.2. Payment must be made by SEPA direct debit. The Member authorizes Sluisgym to debit the due fee via SEPA direct debit from their bank account. The Member is responsible for ensuring sufficient funds in their bank account from which Sluisgym is authorized to collect the due fee.

5.3. Contrary to the above, a membership that grants a specific number of accesses to Sluisgym's facilities must be fully paid by card payment at the time of entering into it.

5.4. Payments made by the Member are non-refundable for any reason, unless there is a valid revocation by the Member in accordance with Article 2.2.

5.5. If the fee owed by the Member is not received by Sluisgym by the respective payment date, Sluisgym is entitled to deny the Member access to its facilities. If the Member, after the first payment reminder, still does not meet the payment obligation, the Member is in default, and legal collection costs of at least €40 will be charged from that moment onwards. Sluisgym is then entitled to hand over the total claim for collection. In addition, statutory interest will be charged on the principal amount from the due date.

6. CONSUMPTIONS ON ACCOUNT

Sluisgym may (but is not obligated to) offer certain Members the option to pay for Sluisgym's consumptions afterward by means of SEPA direct debit, in which case Article 5 applies accordingly.

7. CHANGE OF MEMBERSHIP FORM

7.1. If (a) a Member wishes to switch to a different membership form and (b) the new membership form is equal or higher in price than the current membership form, the Member can switch to such a new membership form at any time with effect from the next payment date. By mutual agreement and payment of the pro rata difference between the current subscription form and the new subscription form, the new subscription form can also start before the next payment date.

7.2. If (ii) a Member wishes to switch to a different membership form and (ii) the new membership form is priced lower than the current membership form, the Member can:

  • (a) During the initial term of their Membership Agreement, switch to such a new membership form after the expiration of the initial term; or
  • (b) After the expiration of the initial term of their Membership Agreement, switch to such a new membership form with effect from the next payment date.

8. TERMINATION, RELOCATION, AND TEMPORARY SUSPENSION OF MEMBERSHIP

8.1. Except in accordance with Articles 8.3 or 8.4, a Member can terminate their Membership Agreement:

  • (a) During the fixed initial term, only terminate at the end of the respective fixed initial term with one (1) month's notice before the end of that term; or
  • (b) After the fixed initial term, only terminate at the next payment date and with seven (7) days' notice before that payment date.

8.2. A membership that grants a specific number of accesses to Sluisgym's facilities cannot be terminated.

8.3. A Member can terminate their Membership Agreement by emailing memberships@gustavgym.nl.

8.4. In case of prolonged illness, prolonged injury, and/or pregnancy of the Member, a Member can temporarily suspend or terminate their membership with a fixed initial term - after consultation and submission of a written doctor's certificate - as of the next payment date. The end date of the membership will then be extended at no cost for the duration of the suspension. The membership can be suspended for a maximum of three (3) months.

8.5. If a Member residing in Amsterdam moves outside Amsterdam, they can terminate their membership with a fixed initial term - after consultation and submission of proof thereof - prematurely as of the next payment date. In such a case, the respective Member and Sluisgym will share the due fee for the remaining term of the membership (if applicable) equally.

8.6. In case of absence due to a vacation of seven (7) or more days, a Member can temporarily suspend their membership with a fixed initial term of 12 or 24 months, with a maximum of four (4) weeks per year. The end date of the membership will then be extended at no cost for the duration of the suspension. The option for temporary suspension due to vacation does not apply to memberships with a duration of less than 12 months.

8.7. The validity of a membership that only grants the right to a specific number of uses of Sluisgym's facilities (a so-called punch card) expires six (6) months after the start of that membership.

9. PERSONAL TRAINING SUBSCRIPTIONS

9.1. If a fixed number of personal training sessions is part of the Membership Agreement, the agreed fixed number of personal training sessions is allocated as 'credits' to the Member at the beginning of each payment period. Each 'credit' is valid for six (6) weeks after allocation, after which the respective 'credit(s)' expires. Expiry of a 'credit' will be determined on a 'first in / first out' basis. Unused or expired 'credits' do not entitle to a refund or reduction of the due fee.

9.2. One 'credit' entitles to one personal training session of approximately 60 minutes by a personal trainer designated by Sluisgym, taking into account the Member's preferences.

9.3. The date and time of a personal training session will be coordinated in consultation with the respective personal trainer.

10. HOUSE RULES

10.1. Each Member must adhere to the applicable house rules of Sluisgym throughout their membership. Sluisgym is entitled to change the house rules from time to time.

10.2. Sluisgym has the right to terminate the Membership Agreement with immediate effect if (a) the Member engages in unacceptable or inappropriate behavior (including loud behavior and improper language), (b) the Member systematically violates the house rules of Sluisgym, or (c) a third party uses the Keycard of that Member due to any act or omission or with the knowledge of the respective Member.

10.3. Scheduled personal training sessions can be canceled up to 24 hours before their start with retention of the 'credit.' If a personal training session is canceled less than 24 hours before its start, a 'credit' will be deducted from the membership. Scheduled group classes can also be canceled up to 24 hours before their start.

11. RISK AND LIABILITY

11.1. Engaging in sports can involve risks. The use of Sluisgym's facilities in any way is entirely at the Member's own expense and risk. A Member will adhere to all reasonable instructions given by Sluisgym.

11.2. A Member is obliged to report their physical condition (such as injuries, illnesses, and/or other physical conditions) both before, during, and after any training supervised by a trainer and provide all information that the Member reasonably understands is necessary for doing exercises.

11.3. Sluisgym and its directors, employees, and other assistants are not liable for (a) material or immaterial damage as a result of an accident or injury to a Member and/or third parties in any way arising and/or (b) damage, loss, or theft of property of a Member and/or third parties.

12. PERSONAL DATA AND PRIVACY POLICY

12.1. Sluisgym processes your personal data for various purposes and in accordance with the Dutch Personal Data Protection Act. For more information about the processing of your personal data, you can refer to the Privacy Statement on our website (www.Sluisgym.nl).

13. OTHER PROVISIONS

13.1. Unless expressly agreed otherwise in writing, the completed registration form by the Member and these Membership Terms together constitute the full representation of the rights and obligations of Sluisgym and the respective Member, replacing all previous written and oral announcements, offers, agreements, and all other correspondence.

13.2. These Membership Terms are also drawn up for the benefit of the directors, employees, and other assistants of Sluisgym. The aforementioned persons can rely on these Membership Terms as an irrevocable third-party clause free of charge.

13.3. Deviations from these Membership Terms are only valid if expressly agreed in writing.

14. AMENDMENT OF MEMBERSHIP TERMS

Sluisgym is entitled to change these Membership Terms from time to time. The possibly amended Membership Terms apply to new members and to members whose membership (implicitly or not) is extended. With regard to Membership Agreements for an indefinite period, Sluisgym is entitled to change the Membership Terms, provided that the change is announced in writing at least three (3) months before it takes effect.

15. APPLICABLE LAW AND COMPETENT JUDGE

15.1. The Membership Agreement and all agreements entered into by or with Sluisgym are governed exclusively by Dutch law.

15.2. Disputes arising from the agreement between a Member and Sluisgym or otherwise are exclusively settled by the competent judge in the Netherlands.

These Membership Terms are effective as of November 1, 2023.
